General Terms and Conditions of Sale (2025)

1. Scope of Application

These General Terms and Conditions govern all offers, quotations, sales, and deliveries of goods and services by BAKO SUPPLY LTD unless expressly agreed otherwise in writing. Any conflicting terms of the Buyer shall not apply unless explicitly accepted in writing by the Seller.

2. Prices and Quotations

All prices are quoted in EUR or USD, exclusive of VAT and taxes. Quotations are valid for up to twenty (20) calendar days unless stated otherwise. Orders below 200 EUR may be subject to a 35 EUR administrative fee.

3. Orders and Specifications

Orders become binding upon written confirmation by the Seller. The Buyer is responsible for providing complete and accurate technical specifications.

4. Delivery

Delivery dates are estimates only. The Seller shall not be liable for delays caused by force majeure or circumstances beyond reasonable control.

5. Transport and Risk

Deliveries are made ex-warehouse Seller under INCOTERMS 2010 unless otherwise agreed. Risk transfers to the Buyer upon handover to the carrier.

6. Payment Terms

Invoices are payable in full without deduction. Late payments accrue interest at 2% per month. The Seller may suspend deliveries in case of overdue payments.

7. Retention of Title

Ownership of goods remains with the Seller until full payment has been received.

8. Returns and Cancellation

Returns require prior written approval. Customized goods are non-returnable. Order cancellations may incur up to a 20% fee.

9. Warranty and Liability

Goods must be inspected upon receipt. Warranty is limited to six (6) months. Seller liability shall not exceed the order value.

10. Governing Law and Jurisdiction

These General Terms and Conditions and any contractual or non-contractual obligations arising out of or in connection with them shall be governed by and construed exclusively in accordance with the laws of the Republic of Bulgaria, excluding its conflict of law rules and expressly excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The Seller, BAKO SUPPLY LTD (Company Registration No. 208115782), is a company duly incorporated and registered under the laws of the Republic of Bulgaria. All legal relationships arising under these Terms shall be deemed to have a permanent and substantial connection with the jurisdiction of the Republic of Bulgaria.

All disputes arising out of or in connection with these General Terms and Conditions shall fall under the exclusive jurisdiction of the competent courts of the Republic of Bulgaria. The place of performance and jurisdiction shall be the registered office of the Seller in the Republic of Bulgaria, irrespective of the Buyer’s location or delivery terms.

11. Severability

If any provision is held invalid, the remaining provisions shall remain fully effective.
